ACCEPTANCE AND AUTHORIZATION
By using our website and making payment, you (referred to interchangeably herein as the “Client”), acknowledge and irrevocably confirm you have reviewed and agreed to these Terms and Conditions relating to your access to and use of the Chandler Coaches Inc. product purchased (the "Agreement"). This Agreement may be modified at any time by Chandler Coaches Inc. upon posting of the modified Agreement. Any such modifications shall be effective immediately upon posting on our website. Each use of our website shall constitute and be deemed your unconditional acceptance of this Agreement. You agree and understand that upon payment completion, you are registered for the two-day Coach to Thrive program provided by Chandler Coaches Inc.

COMMITMENT
By making payment and registering, you commit to attend all scheduled sessions included as part of the program. You also acknowledge that creating results requires effort and you are prepared and committed to faithfully make that effort.

WORK PRODUCT/INTELLECTUAL PRODUCT
Chandler Coaches Inc. owns all rights, title, and interest to the products, concepts, know-how, designs, techniques, software, documentation, diagrams, discoveries, and any associated copyrights, trade secrets, patents, and trademarks used during the course of this Agreement, including presentations and related coaching/training materials online and/or in-person in exchange for a program fee, notwithstanding that the Client may have conceived, developed, authored or contributed to the creation or improvement of the same during the Agreement. Any uploading, downloading, modification, reproduction, copying, distribution, assignment, sale, publication, or transmission by you of any content or any part of the program is strictly prohibited without express written consent from Chandler Coaches Inc. The Client further agrees to do all acts necessary and sign all documentation necessary in order to confirm the assignment of all rights in all such materials to enable Chandler Coaches Inc. to register applicable intellectual property protection as Chandler Coaches Inc. deems advisable.
CONFIDENTIAL INFORMATION
All Confidential Information of the Client, which is disclosed to Chandler Coaches Inc. during the Agreement, shall be kept in confidence by Chandler Coaches Inc., both during and after the term of the program, unless authorized by the Client in writing, or otherwise required under applicable laws. During one-on-one coaching/training engagements, all Confidential Information disclosed to Chandler Coaches Inc. by the Client shall be kept in confidence (unless otherwise authorized in writing or required under applicable laws).

PROMOTIONAL MATERIAL
By making payment and registering, you affirmatively agree and acknowledge that Chandler Coaches Inc. may at any time reproduce and/ or disseminate any testimonial(s) describing or otherwise referencing, either directly or indirectly, your experience participating in such program, including any specific results experienced by you over the course of such participation. You agree and acknowledge that this includes any written statements you may publish to social media accounts and online forums as well as any statements and/or images captured or otherwise recorded over the course of attendance at any event(s) related to such program. You further represent that any such statements or testimonials that you make shall be correct, accurate, and truthful.

LIABILITY
Chandler Coaches Inc. shall at no time be held liable for direct or indirect damages incurred in connection with this Agreement, including as a result of any advice provided by Chandler Coaches Inc., or any error or omission by it, other than those attributable to its gross negligence. In no instance shall Chandler Coaches Inc.'s liability to the Client exceed the fees paid by the Client to Chandler Coaches Inc. in connection with this Agreement.

INDEMNIFICATION
You will, at your own expense, defend, indemnify, and hold Chandler Coaches Inc., its agents, and employees harmless from all claims, demands, proceedings, fines, losses, damages, liabilities, deficiencies, costs and expenses (including, without limitation, all reasonable legal and other professional fees and disbursements, interest, penalties, judgments and amounts paid in settlement) arising directly or indirectly as a consequence of the Client's use of Chandler Coaches Inc.'s program or this Agreement.

ENGAGEMENT CONTINUANCE
Chandler Coaches Inc. shall have the exclusive right to terminate the Agreement at Chandler Coaches Inc.’s sole discretion, except as otherwise specified in the Refund Policy herein.

REFUND POLICY
No refund, reimbursement, or credit shall be provided, except in the sole discretion of Chandler Coaches Inc.

RESULTS DISCLAIMER
By making payment and registering, you accept and agree that you are fully responsible for your progress and results from your participation. We offer no representation, warranties, or guarantees (verbally or in writing) regarding your results. You understand that the results experienced by each person may vary significantly. Any statements outlined in our website, programs, content, and offerings are not, and shall not be construed as, representations, warranties, or guarantees of actual results.

NO ENDORSEMENT
This Agreement does not in any way constitute an (explicit or implicit) endorsement by Chandler Coaches Inc. of you or your products or services or any of your work, publication, study, or analysis. Consequently, you shall not make any advertisement or representations which could suggest such endorsement or such association with Chandler Coaches Inc., without first obtaining the written consent of Chandler Coaches Inc.

ENFORCEABILITY
The omission by a party to enforce any provision of this Agreement or to exercise its rights hereunder shall not be construed as constituting a waiver of such provision or such rights, nor shall it in any way impair the validity of this Agreement nor deprive such party of the right subsequently to require absolute respect of its rights or compliance with such provision or any other provision of this Agreement. The fact that a party exercises rights shall not preclude or deprive such party from exercising any other rights conferred upon it hereunder or otherwise, whatever legal action or proceedings it may previously have brought. No waiver by a party of the performance of any of the provisions hereof shall be applicable unless such waiver is recorded in writing and signed by a duly authorized signing authority of such party.

IRREPARABLE HARM
The Client acknowledges that breach of the terms contained in this Agreement may result in irreparable harm to Chandler Coaches Inc. and that damages alone may be an inadequate remedy. In the event of breach or threatened breach of this Agreement, Chandler Coaches Inc. shall be entitled to an injunction, in addition to any other rights or remedies available under law or equity.

SUCCESSORS AND ASSIGNS
This Agreement shall be binding on and ensure to the benefit of the successors and assigns of the parties.

PARTIAL INVALIDITY
If any provision of this Agreement, including the breadth or scope of such provision, shall be held by any court of competent jurisdiction to be invalid or unenforceable, in whole or in part, such invalidity or unenforceability shall not affect the validity or enforceability of the remaining provisions, or part thereof, of this Agreement and such remaining provisions, or part thereof, shall remain enforceable and binding.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the Province of Prince Edward Island and the federal laws of Canada applicable therein, and any dispute flowing from this Agreement shall be referred to the courts in the Province of Prince Edward Island.
